Went to get tires and the dealers said im over due for sprockets and chain on my 06 S2R with 8K miles.
My question is has anyone used this setup

and do i need a chain tool to install this type of chain?

I'd ask 'em if they have a sprocket for the S2R.
I wouldn't jump the gearing *that* much.
Depends on which S2R you've got, too.

I first found the ad searching for s2r parts.
I have no idea what they are selling. A conversion from a 520 chain to a 520 chain ??? Oh, never mind, a chain and sprocket set of unknown materials and manufacturer. The package, as Speeddog said, is a pretty serious ratio reduction. Since they are selling a chain with a clip master link, no special tool required, but many on this board, including me, prefer a rivet style master.
First, I would get a second opinion on the condition of your chain. 8k is pretty low mileage. Then, if needed, I would call Chris Kelley at http://www.ca-cycleworks.com (http://www.ca-cycleworks.com) for advice and purchase from him.
Im not chain smart.... that said im a little confused. What exactly would be changing if i bought this setup if they r both 520 and the front sprocket is the same... just a little more top end with the 40 tooth rear?
They are most likely right on the need for a chain. I ride in the rain alot and do not lubricate it as often as I should. It has spots where the links seem tight and just wont sag even.
Can I get away with just buying a chain?
Anyone remember a long while back on the DML about a black 900 that had a chain go through the engine case.... well that was me on my last bike.... Im paranoid now.
They are selling a 14 tooth front and 40 rear. This is significant, ah, nevermind, your 800 is 15/42, not 15/38, insignificant change, 1/2 tooth. From your description it does sound like you need a chain. At 8K miles I would change the sprockets too.
I subscribe to the theory of ALWAYS changing sprockets and chain at the same time. A new chain on worn sprockets will wear in no time.
Im gonna buy above product and report back. Time will tell.....
If your worried about your Chain smashing your case, get the Case saver insert, CA Cycleworks, Desmotimes and a number of Suppliers sell them, Cheap insurance just incase the worst should ever happen, I put mine on the bike about 12 months ago, hope I never need it, but should the worst ever happen, it'll save you a chunk of cash, as unfortunately you have found out, Pic courtesy of CA Cycleworks.

+1 to the case saver. Chris Kelley and Desmotimes both sell them.
I change sprockets when they're worn. In my experience the chain and sprockets do not wear at the same rate. YMMV.
If you ride a lot and you ride in the rain a lot, save yourself some money and take the little time required to lube/clean your chain regularly. I use chain wax to simultaneously clean and lube the chain.
