MILAN, Dec 12 (Reuters) - Italy's Ducati Motor Holding SpA (DMH.MI: Quote, Profile, Research, Stock Buzz) are to be delisted from the Milan bourse, effective Dec. 19, after Performance Motorcycles's buyout offer closed Friday with more than 95 percent acceptance, the bourse said.

In a statement, the bourse said shares in the Ducati motorbike company will be suspended from trading on Dec. 16 to Dec. 18, while listing will be revoked from session on Dec. 19, it said.

Ducati in a statement said Performance Motorcycle, a vehicle set up by Italian private equity group Investindustrial, has obtained 96.9 percent of the shares and will meet its obligation to acquire the remaining shares.

The bid was announced in May and the bid price for Ducati shares set at 1.719 euros. Friday, Ducati closed up 0.77 percent at 1.713 euros.

Ducati will now be a private company, as it was pre-1996.
Its owner will be named Performance Motorcycle, a holding company set up by the Bonomi fund.

I hadn't heard about this deal.  My Ducati stock has been going up while everything else has remained in the toilet.

ak - They'll probably claim your shares on a certain date and reimburse you in cash for their value on that date.

izzy - I agree that this is a good thing for Ducati.  They can spend and invest in long-term projects without having to keep public shareholders happy on a quarterly basis.   [thumbsup]

Oh, the ending price of the stock today was $24.60.  There must be an error in the quoted article.  Perhaps it should be 17 (not 1.7)

Ducati, DMH sold as ADRs on the us exchange and each ADR was 5 or 6 shares of common stock as traded in Italy. That's why the discrepancy in price.

DMH.YY ADRs were 10:1 for the common stock, so about $2.40 per share, close sale price was â,¬1.7xx /sh.

The sale is mandatory, you'll get a check in the mail and a letter saying you've sold your shares.

It is the company's right to force mandatory sales under certain circumstances.

Do any of you know what is going on currently with Ducati stock?  The stock price is down $2.50 today which makes no sense to
me.  If the stock not being traded how can the price go down.  I have searched the web to see if there is info and I found nothing newer than the Reuter's article posted at the start of this thread; except except for a newer press release at ducati.com but it is written in Italian.  Anyone read Italian of know something more?   [coffee] [bang] [popcorn]

The ADR is still trading until it is removed.  The price of buyback is fixed, though.

Any idea what that price is?  The press release gave a few figures but I don't know what they are for.  Funny that people would
continue to trade as the price continues to fall, unless they know something I don't.  Perhaps it is just the bovine behavior that
tends to regulate the stock market.
